Terms of Service

The agreement between us.

Effective: June 1, 2026 · Last updated: October 16, 2026

These Terms of Service (these "Terms") are a binding contract between you ("you" or "Customer") and Management OS, Inc., a Delaware corporation ("Management OS", "we", "us"). They govern your access to and use of the Management OS website, applications, APIs, and the Management OS software-as-a-service platform, together with all related features, content, and documentation (collectively, the "Service").

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" and "Customer" refer to that organization.

If your organization has executed a separate Master Subscription Agreement with Management OS, that agreement governs your use of the Service and supersedes these Terms.

1. Eligibility and Accounts

You must be at least 18 years old and able to enter a binding contract to use the Service. The Service is intended for business and professional use; it is not directed to consumers or to children. You may use the Service only in jurisdictions where its use is lawful and where Management OS makes the Service available.

You are responsible for: (a) maintaining the confidentiality of your account credentials, (b) all activity in your account, (c) the accuracy and lawfulness of the information you provide, and (d) the conduct of any users you authorize.

2. The Service; License

Subject to these Terms, Management OS grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service for your internal business purposes during the term of your subscription.

Management OS may modify, update, or discontinue features of the Service from time to time. We will not materially decrease the core functionality of the Service during a paid subscription term in a manner that materially adversely affects you.

3. Acceptable Use

You agree to comply with the Acceptable Use Policy at mgmt-os.ai/aup (the "AUP"), which is incorporated into these Terms. Violation of the AUP is a material breach of these Terms.

In addition, you will not, and will not permit your users to: (a) reverse engineer, decompile, or attempt to derive the source code or underlying ideas of the Service; (b) modify or create derivative works of the Service; (c) resell, sublicense, or commercially exploit the Service to or for the benefit of a third party; (d) use the Service to build a competing product or to benchmark for publication without our written consent; (e) circumvent usage limits, rate limits, or security measures; or (f) use the Service to develop, train, or improve any artificial intelligence model that competes with the Service.

4. Customer Data

4.1 Your Content

"Customer Data" means anything you submit to or generate through the Service, including files, documents, prompts, instructions, and outputs.

You retain ownership of your Customer Data. You grant Management OS a limited, worldwide, non-exclusive license to host, copy, transmit, process, and display Customer Data solely as necessary to provide the Service to you and to comply with law.

For the avoidance of doubt, Customer Data does not include Management OS's Confidential Information, methodology, rubrics, canon content, or scoring frameworks, whether or not surfaced to you through AI Output, all of which remain the intellectual property of Management OS.

4.2 No Training

We do not use your Customer Data, prompts, or AI Output to train, fine-tune, or improve any AI model, including our own. We contractually require our AI model providers to comply with this commitment for data routed through their APIs and configure those APIs accordingly.

4.3 Privacy

Our processing of personal data is governed by our Privacy Policy at mgmt-os.ai/privacy and, where applicable, our Data Processing Addendum at mgmt-os.ai/dpa (the "DPA"). If your use of the Service involves processing personal data of EU/UK residents, California residents, or residents of other jurisdictions with applicable data-protection laws, the DPA applies and is incorporated into these Terms by reference upon your online acceptance.

4.4 You Are Responsible for Your Data

You represent and warrant that (a) you have all rights and consents necessary to submit Customer Data to the Service, (b) Customer Data does not infringe or violate the rights of any third party or any law, and (c) you will not submit Protected Health Information (HIPAA), payment card data subject to PCI-DSS, education records subject to FERPA, or data of children under 16 unless we expressly authorize it in writing in advance.

5. Artificial Intelligence Features

The Service uses artificial intelligence models, including third-party large language models, to generate content and assist with tasks ("AI Output"). AI Output is probabilistic: it can be inaccurate, incomplete, biased, or otherwise unsuitable. You are responsible for reviewing AI Output before relying on it for any decision, communication, or action. Do not use AI Output as the sole basis for decisions with legal, financial, medical, employment, or similarly significant effect on any person without meaningful human review.

As between you and Management OS, you own the AI Output generated for your account, subject to (a) any rights retained by underlying model providers under their terms, (b) Management OS's intellectual property in the Service, and (c) limits on the protectability of AI-generated content under applicable law. The same or similar AI Output may be generated for other customers; you do not have exclusive rights in any particular AI Output.

5.1 WhatsApp Messaging Channel

If you enable the WhatsApp notification channel, you authorize us to send messages to the phone number you provide via the WhatsApp Business Cloud API operated by Meta Platforms, Inc. Your use of the WhatsApp channel is additionally subject to Meta's WhatsApp Business Terms and Business Messaging Policy. You represent that the number you provide is yours and that you are authorized to receive business messages at it. Message-and-data rates from your carrier may apply. You may opt out at any time by texting STOP to the Management OS WhatsApp number or by disconnecting the channel in Settings.

5.2 Voice Recording and Synthesis

If you send us a voice note via WhatsApp, you authorize us to transmit that audio to our speech-to-text sub-processor for transcription so the Service can respond. If you enable voice replies, you authorize us to synthesize spoken replies via our text-to-speech sub-processor. Voice inputs and generated audio are Customer Data. You represent that you have any consents required by applicable law (including two-party-consent recording laws) before sending audio that includes other people's voices.

5.3 Third-Party Services You Connect (BYO Credentials)

The Service allows you to connect third-party services (including CRMs, meeting-recording tools, personality-intelligence providers, enrichment providers, and messaging providers) using credentials, API keys, or OAuth tokens you supply ("BYO Credentials"). Your use of any third-party service remains governed by that service's own terms and privacy policy. You represent that (a) you have authority to authorize the connection, (b) you will comply with the third-party service's terms, and (c) you will bear any fees the third-party service charges. We store BYO Credentials encrypted at rest and use them only to perform the actions you request. You may revoke a connection at any time in Settings; upon revocation we delete the credential.

5.4 AI Assistants and Agent Access

You may use the Service from third-party AI assistants and agents, such as Claude, ChatGPT, Grok and Gemini, that connect to the Service through the Model Context Protocol ("Agent Access"). Agent Access is available on agent plans and, on app plans, with the Agent Access add-on, as described on the pricing page. During a trial, or until we announce otherwise, we may make it available on other plans.

(a) Sign-in and scope. You authorize each assistant by signing in with your Management OS account. The assistant receives an access token limited to your account, workspace and seat, never your password. You may revoke it at any time in the assistant's settings or by contacting support.

(b) What we receive. We receive only what the assistant sends in a tool call: the request and the evidence for it. The assistant's provider processes your conversation under its own terms and privacy policy, which govern your use of that assistant. How we handle what we receive is described in Section 12.4 of our Privacy Policy.

(c) Read-only tools. Agent Access tools do not send messages, change records in connected systems, or delete data. Output returned to an assistant is AI Output under Section 5, and you remain responsible for any action you or the assistant take based on it.

(d) Fair use. You may not use Agent Access to extract or reconstruct our prompts, scoring methods or models, to run the Service for people outside your workspace, or to send automated requests beyond the rate limits we set. We may limit or suspend Agent Access for a workspace that does, and will tell you why.

6. Fees, Plans, and Payment

6.1 Subscription Plans

The Service is offered on monthly or annual subscription plans. Plan features and prices are set forth on the pricing page at mgmt-os.ai/pricing or in the order confirmation when you sign up.

6.2 Billing

Unless otherwise stated, subscriptions are billed in advance on the day you sign up and on each renewal date. You authorize us (or our payment processor, Stripe) to charge your payment method for all Fees and applicable taxes.

6.3 Auto-Renewal

Your subscription will automatically renew at the end of each billing period at the then-current rate unless you cancel before the renewal date. You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period.

6.4 Price Changes

We may change Fees from time to time. We will give you at least thirty (30) days' notice before a price change applies to your subscription, by email or in-product notice. If you do not agree, you may cancel before the change takes effect.

6.5 Refunds

Except as expressly stated in these Terms (including the return of Credits under Section 6.8) or required by law, all Fees are non-refundable and we do not provide refunds or credits for partial use, downgrades, or unused subscription time.

6.6 Taxes

Fees are exclusive of taxes. You are responsible for all sales, use, value-added, and similar taxes (other than taxes based on our net income).

6.7 Free Tier and Trials

If we offer a free tier or trial, it is provided "as is" with no SLA, support commitment, or indemnity, and we may modify or discontinue it at any time.

6.8 Usage Credits

(a) What credits are. Certain work products, such as deal reads, coaching plans, meeting preparation and account plans, use usage credits ("Credits"). The pricing page lists the Credits each work product uses, including any additional Credits for large amounts of evidence. Credits measure use of the Service. They have no cash value, are not a deposit or stored value, and cannot be sold, transferred outside your workspace, or exchanged for cash.

(b) Allowances. Each plan on the pricing page includes a monthly Credit allowance, granted once a month while your subscription is active. Add-ons and Agent Access add their own monthly allowances. A trial includes a one-time allowance. Allowances are listed on the pricing page or in your order. Subscriptions that began before Credits were introduced (our Monthly, Annual and Founding Cohort plans) do not use Credits for work products made in the Service and have no monthly allowance; work products made from an AI assistant use Credits bought as packs.

(c) Shared by the workspace. Credits belong to your workspace and are shared by all of its users. You are responsible for Credits used by the users you invite.

(d) Roll-over and expiry. Unused Credits roll over from month to month. Each allowance, and each pack, expires twelve (12) months after it is granted or purchased. We use the Credits that expire soonest first.

(e) Credit packs. You may buy additional Credits in packs. Packs are a one-time purchase, are charged when you buy them, and are non-refundable except as required by law.

(f) When Credits are used. Credits are deducted when a work product starts. If it fails or cannot be completed, the Credits are returned automatically. Conversation in the Service or in a connected assistant, the daily brief on app plans, and work that errors do not use Credits. If you believe Credits were used in error, contact support within thirty (30) days and we will review it and return Credits where appropriate.

(g) At zero. When your balance reaches zero, new work products pause until your next allowance arrives or you buy a pack. We do not charge overage fees. If a balance goes below zero because work was already under way, the difference is deducted from your next allowance.

(h) When a subscription ends. Credits can be used only while your workspace has an active subscription. Credits left when a subscription ends are not refunded. If you subscribe again before they expire, they become available again.

(i) Changes. We may change the Credits a work product uses, or a plan's allowance, with notice under Section 6.4. A change does not affect Credits already granted or work already charged.

7. Service Availability

We will use commercially reasonable efforts to keep the Service available, but the Service is provided on a best-effort basis under these Terms. No service level commitment applies to self-serve subscriptions. Customers who require an SLA may contact sales@mgmt-os.ai to enter into a Master Subscription Agreement.

8. Security

We implement administrative, technical, and physical safeguards designed to protect Customer Data, as described in our Information Security materials. We will notify you of any Security Incident affecting your Customer Data without undue delay and in any event within seventy-two (72) hours after we become aware.

9. Intellectual Property

We retain all right, title, and interest, including all intellectual property rights, in and to the Service, the Documentation, Service Generated Data, and all improvements, enhancements, modifications, or derivatives of any of the foregoing. The Service and underlying methodology are the subject of pending U.S. Provisional Patent Application No. 64/075,451, and MANAGEMENT OS is a trademark subject of pending USPTO Application Serial No. 99848258, owned by Management OS, Inc. No rights are granted to you by implication, estoppel, or otherwise except as expressly stated in these Terms.

If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free, worldwide license to use them in any way without obligation.

We may identify you as a customer and use your name and logo in our customer lists, on our website, and in marketing materials. You may opt out at any time by emailing legal@mgmt-os.ai; we will cease such use within thirty (30) days.

10. Suspension and Termination

10.1 By You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.

10.2 By Us

We may suspend or terminate your access (a) immediately if you materially breach these Terms or the AUP, fail to pay, or pose a security or legal risk to us, our other customers, or third parties; (b) on thirty (30) days' notice for any reason, in which case we will refund any prepaid Fees for unused time after termination.

10.3 Effect

On termination, your right to access the Service ends. We will, on your written request submitted within thirty (30) days, make Customer Data available for export, after which we may delete it. Sections that by their nature should survive (including IP, payment, disclaimers, limitations of liability, indemnity, and dispute resolution) survive termination.

11. Confidentiality

Each Party will protect the other's confidential information using at least reasonable care and use it only as needed to perform under these Terms. The terms of these Terms (other than what is publicly posted) are confidential.

12. Warranties; Disclaimer

The Service is provided "as is" and "as available."

To the maximum extent permitted by law, Management OS disclaims all warranties, express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, secure, or error-free, that AI Output will be accurate or fit for any purpose, or that the Service will operate without loss or corruption of data.

Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions our warranties are limited to the extent permitted by law.

13. Indemnification

13.1 By Management OS

Subject to Section 14, we will defend you and indemnify you against any third-party claim alleging that the Service, when used in accordance with these Terms, infringes a US patent, registered copyright, or registered trademark, or misappropriates a trade secret, and pay any damages or settlement amounts finally awarded by a court or paid in a settlement we approve. This indemnity does not apply to claims arising from (a) Customer Data, (b) your prompts, configurations, or use of the Service in combination with anything not provided by us, (c) violation of these Terms or the AUP, (d) modifications not made by us, (e) continued use after notice of an alleged infringement, or (f) AI Output.

13.2 By You

You will defend us, our affiliates, and our personnel against any third-party claim arising from (a) Customer Data, (b) your or your users' breach of these Terms or the AUP, (c) your use of AI Output, including any decision or action you take in reliance on AI Output, or (d) your gross negligence, willful misconduct, or violation of law, and you will pay any damages or settlement amounts finally awarded or paid in a settlement you approve.

13.3 Procedure

The indemnified party will give prompt written notice, allow the indemnifying party to control defense and settlement (subject to the indemnified party's reasonable approval of any settlement requiring admission or payment), and reasonably cooperate at the indemnifying party's expense.

14. Limitation of Liability

Except for the Excluded Claims below:

(a) Neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, goodwill, or data, arising out of or relating to these Terms, even if such party has been advised of the possibility.

(b) Each party's total cumulative liability arising out of or relating to these Terms will not exceed the Fees paid by you to us in the twelve (12) months before the event giving rise to the claim, except that for claims arising from (i) our breach of our security obligations resulting in a Security Incident, or (ii) our breach of Section 4.2 (No Training), our total liability will not exceed two (2) times that amount.

(c) For free users or users with no Fees in the prior 12 months, our total liability will not exceed US$100.

Excluded Claims (uncapped): a Party's indemnification obligations under Section 13; a Party's breach of confidentiality (other than loss of Customer Data, which is governed by the enhanced cap above); your payment obligations; a Party's gross negligence, willful misconduct, or fraud; and your breach of Section 3 (Acceptable Use) or Section 9 (IP).

These limitations apply notwithstanding the failure of essential purpose of any limited remedy. The limits in this Section 14 are an essential basis of the bargain.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. The UN Convention on Contracts for the International Sale of Goods does not apply.

16. Dispute Resolution; Arbitration; Class Action Waiver

16.1 Informal Resolution

Before filing a claim, you and we agree to first try to resolve the dispute by sending a written notice to the other party describing the dispute, which includes the relevant facts and the requested resolution. We will discuss the dispute in good faith for at least thirty (30) days.

16.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved through informal resolution will be resolved by binding arbitration administered by JAMS in accordance with its Streamlined Arbitration Rules and Procedures. The arbitration will be conducted in Wilmington, Delaware, in English, by a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.

16.3 Exceptions

This Section 16 does not require arbitration of: (a) claims for injunctive or other equitable relief to protect intellectual property rights or confidential information, which may be brought in court; or (b) small-claims court actions for matters within the small-claims court's jurisdiction.

16.4 Class Action Waiver

You and we each agree to bring claims against the other only in our individual capacity, and not as a plaintiff or class member in any purported class, collective, mass, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

16.5 Mass-Arbitration Protocol

If 25 or more individual demands of similar nature are filed against us by or with the assistance of the same law firm or coordinated set of firms, the parties agree to a batched bellwether procedure as administered by JAMS, with each batch limited to 50 cases at a time, in order to manage cost and resolve disputes efficiently.

16.6 Opt-Out

You may opt out of this arbitration agreement by sending written notice to legal@mgmt-os.ai within thirty (30) days of first accepting these Terms, stating your name, account email, and a clear statement that you opt out of arbitration. Opting out has no other effect on these Terms.

16.7 Jury Trial Waiver

If a dispute is not subject to arbitration, you and we each waive the right to a trial by jury.

17. Export and Sanctions

You will comply with all applicable export control and sanctions laws. You represent that you (a) are not located in, and are not a national or resident of, any country subject to comprehensive US sanctions and (b) are not on any US government list of prohibited or restricted parties.

18. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will give you reasonable notice (for example, by email or in-product notice) before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance. If you do not agree, you may cancel your subscription before the changes take effect.

19. General

  • (a) Entire Agreement. These Terms, together with the AUP, Privacy Policy, DPA (when applicable), and any order confirmation, are the entire agreement between you and us regarding the Service and supersede prior agreements on the same subject.
  • (b) Order of Precedence. If there is a conflict, the order of precedence is: order confirmation; DPA (for personal-data matters); these Terms; AUP; Privacy Policy.
  • (c) Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of substantially all of our assets.
  • (d) No Third-Party Beneficiaries. These Terms do not confer rights on any third party.
  • (e) Force Majeure. Neither party is liable for any delay or failure (other than payment) caused by events beyond its reasonable control.
  • (f) Severability. If any provision is unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will remain in effect.
  • (g) No Waiver. Failure to enforce a provision is not a waiver of future enforcement.
  • (h) Notices. Notices to us must be sent to legal@mgmt-os.ai. Notices to you may be sent by email or in-product notice and are deemed given when sent.
  • (i) Contact. support@mgmt-os.ai (general) · legal@mgmt-os.ai (legal) · privacy@mgmt-os.ai (privacy) · security@mgmt-os.ai (security)
